Welcome to 2Turn. These Buyer Terms and Conditions (“Terms”) govern your access to and use of the 2Turn website and platform (the “Platform”) as a registered Buyer. By creating a Buyer Account, you acknowledge that you have read and agreed to these Terms.

1. About 2Turn

2Turn FZ-LLC (“2Turn,” “we,” “us”) operates a secure, invitation-only B2B marketplace that connects verified Buyers with vetted Sellers of off-price, surplus, and liquidation stock.
The Platform enables Buyers to discover and purchase quality inventory through anonymous, escrow-protected transactions supported by full logistics and quality-control services.

2. Eligibility to Join

• Buyers must be legally registered businesses or authorized commercial entities engaged in professional retail, wholesale, or distribution activities.
• Individual or consumer use is not permitted.
• All Buyers must complete KYC (Know Your Customer) and AML (Anti-Money-Laundering) verification before access is granted.
• 2Turn reserves the right to approve, reject, or suspend any registration at its discretion.

3. Buyer Membership Deposit

• Joining the 2Turn network as a Buyer requires a one-time USD 10,000 (ten thousand U.S. dollars) membership deposit.
• This deposit:
  • Confirms your status as an active, verified Buyer within the Platform.
  • Ensures access to all listings, bidding tools, and dedicated account management.
  • Is fully creditable toward your first purchase transaction on 2Turn.
• The deposit is non-refundable but may be applied as credit against the value of the first confirmed buying transaction within twelve (12) months of registration.
• Buyers who remain inactive after this period may be subject to re-verification or renewal requirements.

4. Account Creation & Security

• You are responsible for maintaining the confidentiality of your login credentials and any activity under your account.
• 2Turn must be notified immediately of unauthorized access or security concerns.
• Accounts are non-transferable and may only be used by the verified business entity.

5. Use of the Platform

• Buyers may browse listings, submit bids, and negotiate within the Platform’s secure environment.
• All communication with Sellers must remain within the Platform; external contact is prohibited.
• You agree to use 2Turn solely for lawful, commercial purposes.
• Unauthorized use, data scraping, or interference with Platform operations is strictly forbidden.

6. Accuracy of Information

• Buyers must provide accurate company, contact, and trade-license information during registration.
• You are responsible for maintaining up-to-date details in your account.

7. Confidentiality & Anonymity

• 2Turn safeguards the identity of all members.
• Buyers must not attempt to identify or directly contact Sellers outside the Platform.
• All data, listings, and pricing information accessed through 2Turn are confidential and may not be disclosed or reused without written consent.

8. Platform Services & Fees

• The USD 10,000 membership deposit grants access to the Buyer interface and will be applied as credit toward your first confirmed purchase.
• Additional service fees (e.g., logistics, quality inspection, or documentation support) may apply and will be clearly disclosed prior to each transaction.
• 2Turn reserves the right to modify its pricing or membership terms with prior written notice.

9. Suspension or Termination

2Turn may suspend or terminate access without refund if:

• You breach these Terms;
• You misuse the Platform or attempt off-platform dealings;
• False or misleading information is provided; or
• Regulatory, compliance, or reputational concerns arise.

10. Intellectual Property

All Platform content, software, design, and trademarks are owned or licensed by 2Turn.
Buyers may not copy, reproduce, or distribute content except for internal evaluation purposes.

11. Data Protection

2Turn complies with UAE and international data-protection regulations.
Collected personal and business data are used only for verification, operations, and communication related to transactions.

12. Limitation of Liability

2Turn provides access to listings “as-is” and does not guarantee Seller performance or stock availability.
2Turn’s liability, if any, is limited to the total membership and service fees paid to 2Turn in the preceding twelve (12) months.

13. Changes to These Terms

2Turn may update these Terms periodically. Revised Terms take effect once posted to the website. Continued use of the Platform constitutes acceptance.

14. Governing Law & Jurisdiction

These Terms are governed by the laws of the Emirate of Dubai and the federal laws of the UAE.
Any dispute shall be subject to the exclusive jurisdiction of the UAE Courts.
